Confidential Communication
保密交流
The privilege applies to communication only and does not apply to underlying information, pre-existing documents, or physical evidence. To be protected, the communication must be confidential (meaning, not intended to be disclosed to third parties).
保密特權(quán)僅適用于交流的內(nèi)容，不適用于背景信息、文件或物證。交流必須是保密的，即交流方無(wú)意圖披露給第三方。

Attorney-Client Relationship
委托關(guān)系
An “attorney” is a member of the bar, or someone the client believes to be a member of the bar, and includes an attorney’s agent, such as a paralegal or assistance.
A “client” includes a corporation and its representations, such as its officials or employees.
律師是律師協(xié)會(huì)會(huì)員，包括他的代理人，如實(shí)習(xí)律師，律師助理。客戶包括公司以及公司的代表，如高管或雇員。

Professional Legal Consultation
專業(yè)法律咨詢
The primary purpose of the communication must be to obtain or render legal services, not to give business advice or social advice.
交流的主要目的必須是為了獲取或者給與法律服務(wù)，而不是給與商業(yè)建議或者社會(huì)建議。
NO.4
Privilege Applies Indefinitely
永久保密
It continues after the attorney-client relationship ends and even after the client’s death. The client’s estate representative has the power to waive the privilege after the client’s death. Disclosures made before the attorney accepts or declines the case are covered by the privilege.
保密持續(xù)至委托關(guān)系結(jié)束，甚至至客戶死亡?？蛻舻倪z產(chǎn)代理人在客戶死后有權(quán)放棄該特權(quán)。在律師接受或拒絕代理案件前的交流亦受該特權(quán)的保護(hù)。
NO.5 Waiver 棄權(quán)
Undisclosed privileged material is subject to the waiver only if the waiver was intentional, the disclosed and undisclosed material concern the same subject matter, and the material should be considered together to avoid unfairness.
只有在棄權(quán)是有意的，已披露的和未披露的材料共同指向同一標(biāo)的，為避免不公正，這些材料必須要放在一起考慮時(shí)，方視為放棄保密特權(quán)。
Exceptions 除外規(guī)定
There is no privilege:
? If the attorney’s services were sought to aid in the planning or commission of something the client should have know was a crime or fraud
? For a communication relevant to an issue of breach of duty in a dispute between the attorney and client
? Regarding a communication relevant to an issue between parties claiming through the same deceased client
以下情況不適用保密特權(quán)：
? 律師的服務(wù)是為了協(xié)助客戶計(jì)劃或?qū)嵤┓缸锘蚱墼p
? 律師與客戶之間產(chǎn)生的違約爭(zhēng)議
? 雙方通過(guò)同一已故客戶產(chǎn)生的爭(zhēng)議
《中華人民共和國(guó)律師法》
第三十八條 律師應(yīng)當(dāng)保守在執(zhí)業(yè)活動(dòng)中知悉的國(guó)家秘密、商業(yè)秘密，不得泄露當(dāng)事人的隱私。
律師對(duì)在執(zhí)業(yè)活動(dòng)中知悉的委托人和其他人不愿泄露的有關(guān)情況和信息，應(yīng)當(dāng)予以保密。但是，委托人或者其他人準(zhǔn)備或者正在實(shí)施危害國(guó)家安全、公共安全以及嚴(yán)重危害他人人身安全的犯罪事實(shí)和信息除外。
